There should be no problem with using the same spool, I have done so many times.

On the second exim, set queue_only in the config file. This will not
attempt any deliveries.

Start the second exim WITHOUT any scheduled queue runners.. e.g. exim
-bd instead of exim -q<whatever>.

When the first exim starts up its queue runner it will process the
mails in the queue from both just fine.
